These terms are an agreement between you and AI Magicx, a company organised under the laws of Delaware, United States (“AI Magicx”, “we”, “us”), for your use of the AI Magicx website, app, API, connectors and the apps you publish with it (together, the “service”). By creating an account or using the service, you agree to them. If you use the service for an organisation, you agree for that organisation and confirm you're allowed to.
The privacy policy, acceptable use policy and refund policy are part of these terms.
1. Your account
- You must be at least 18, or the age of majority where you live, to use the service.
- Keep your sign-in details safe. You're responsible for activity on your account. We recommend turning on two-step sign-in in Settings → Account; keep your recovery codes somewhere safe, as we may not be able to restore access without them.
- Give accurate information and keep your email address up to date.
- One person per account. Don't share your sign-in with others.
- In a shared workspace, the owner and admins decide who's a member, what they can do and who pays. Workspace owners are responsible for the people they invite.
2. Plans, mana and payment
- Paid plans renew automatically each month or year until cancelled. You can cancel any time; your plan runs to the end of the paid period. Changes to a paid plan take effect at the next renewal.
- Mana is a prepaid unit for paid work: 1 mana = US$0.01 of service. Plan mana is granted each month, including on yearly plans, and is usable until the end of that month. On Pro and Max, unused plan mana carries over for one more month. Top-up mana is valid for 12 months from purchase. Mana has no cash value, can't be transferred or exchanged, and isn't refundable except as set out in the refund policy.
- Before a paid task starts, we show its estimated price and hold up to the maximum. You are charged for what was actually used, never more than the amount held, and the rest is released. The pricing page lists plans, limits and prices.
- Payments are processed by our payment provider. Checkout and saved cards are handled inside the app in the provider's secure form; we never see your full card number. Taxes are shown before you pay.
- Prices and plan contents may change. The current price is always shown before you pay, and a changed price applies to an active subscription from its next renewal. You can cancel before a renewal if you don't want to continue at the new price.
3. Automatic top-ups
Automatic top-ups are off unless a billing owner or admin of the workspace turns them on. To turn them on, you choose a balance (the app or the API), a mana threshold, a top-up pack, a saved card, a maximum per purchase and a maximum per calendar month (UTC), both including tax, and you confirm that you authorise those repeated purchases.
- When the chosen balance falls below your threshold, we buy the selected pack with that card, within both limits.
- A purchase that would go over either limit isn't made, and automatic top-ups pause. A declined card or a bank check also pauses them until you fix it in the app.
- If a payment is confirmed in a later month than the one it was started in, it counts toward both months' limits. Refunds don't restore a month's limit.
- You can turn automatic top-ups off at any time in Settings → Plan and usage. They also stop if you lose billing rights or close your account.
4. The API
- API access is included on Pro and Max, and retained on assigned Legacy plans. API keys are made by workspace owners and admins, and you must keep them secret. You're responsible for requests made with your keys.
- API work is paid from API top-ups and from top-up mana bought in the app (and Legacy plan mana), never from other plan mana or gifted mana, at the prices in the developer docs.
- Follow the rate limits and the documented behaviour of each endpoint. We may change or retire endpoints with reasonable notice, except where a change is needed for security or by a provider.
5. Your content
- You keep ownership of what you put into the service and, as between you and us, of what the service makes for you, subject to the terms of the model providers involved.
- You give us permission to store, process, copy and display your content only to run the service for you, including sending it to the model providers needed to answer your requests and serving the apps and links you choose to publish.
- We don't use your content to train AI models.
- You're responsible for having the rights to the content you upload and for how you use the results.
6. Sharing and working together
- A shared link shows only what you chose to include, to anyone who has the link. You can change or revoke it at any time, but people may already have saved what they saw.
- Workspace members you give access to can view or edit chats, projects and apps, including editing the same app at the same time. Saved versions stay with the app if a member leaves the workspace.
7. Apps you publish
- You can publish apps you build with AI Magicx at their own web address and connect domains you own. You're the publisher of your apps and are responsible for them, their content and how they treat their users. Publishing is included in your plan, within the limits shown in the app; an app that reaches its monthly traffic limit pauses until the next month, and you're never charged for extra traffic.
- To connect a custom domain, you must own or control it and prove it with the DNS records we show you. We don't buy, renew or manage domains for you.
- We may take down a published app, disconnect its domains and block republishing if it breaks the acceptable use policy, puts people at risk, or we're required to by law. Where we can, we'll tell you why and how to ask us to review it.
- Apps on plans that include databases can store data and let their own users sign in. Each app's database is separate. App database backups are kept for 7 days. Deleting a database, an app or your account permanently deletes the app's data; download a backup first if you need one.
8. Your app users' personal data
When an app you publish collects personal data from its users, you are the controller of that data and we process it on your behalf as your processor. You must have a lawful basis for it, tell your users how you use it, and only collect what your app needs. For that data we will:
- process it only to run, store, secure, back up and deliver your app, following your instructions given through the service and these terms, unless the law requires otherwise;
- make sure the people who can access it are bound to keep it confidential;
- protect it with appropriate technical and organisational security measures;
- use only the providers listed in the privacy policy, bound by similar obligations, and tell you of changes to that list through the policy;
- help you answer your users' requests to access, correct or delete their data, mainly through the tools in the app's Data tab;
- tell you without undue delay if we become aware of a breach affecting it;
- delete it when you delete the app's database, the app or your account, including the backups we keep for it; and
- give you the information reasonably needed to show that we meet these obligations.
These commitments are our data processing terms for your app users' data. If your organisation needs a signed copy, email support@aimagicx.com.
9. Connected apps, your own keys and Google
- When you connect another app or server, you allow the service to use it on your behalf within the access you grant. Actions that change your data in another app ask for your approval before they run. That app's own terms apply.
- If you add keys for other providers, requests made with them are also governed by that provider's terms, and that provider bills you directly.
- The Google Drive and Gmail connectors become available after launch. When they are, email is sent and files are saved only after you approve the exact message or file, and our use of Google data follows the Google API Services User Data Policy, as described in the privacy policy.
10. AI output
AI models can be wrong, incomplete or out of date. Check anything important before you rely on it, especially legal, medical, financial or safety matters. Output may be similar to output given to other people.
11. Availability and changes
We work to keep the service available but don't guarantee it will be uninterrupted. Current status is on the status page. Models and features may be added, changed or retired, for example when a provider retires a model. If we change these terms in a way that matters, we'll tell you by email or in the app before the change takes effect; if you don't agree, you can stop using the service and close your account.
12. Suspension and closing your account
- You can close your account at any time in Settings → Account. Cancel any paid plan first. Closing starts a 7-day grace period in which you can change your mind; after that your content, published apps, domains and app databases are deleted as described in the privacy policy. Any unused mana is lost.
- We may suspend or close an account, or a published app, for serious or repeated breaches of these terms, non-payment, to protect people or the service, or where required by law. Where we can, we'll tell you first and give you a chance to fix the problem.
- We keep the financial records the law requires after an account is closed.
13. Liability
To the extent the law allows, the service is provided “as is”, and we aren't liable for indirect or consequential losses, or for loss of profits, revenue or data you could have backed up. Our total liability for any claim connected with the service is limited to the amount you paid us in the 12 months before the event that caused it.
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or any other liability that can't be limited by law. If you use the service as a consumer, you also keep every right that consumer law gives you.
You're responsible for claims made against us by others that result from your content, your published apps or your breach of these terms, to the extent the law allows.
14. Governing law and disputes
If something goes wrong, contact us first at support@aimagicx.com; most problems can be sorted out quickly.
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute that we can't resolve together will be decided by the state or federal courts located in Delaware, and you and we agree to their jurisdiction.
If you're a consumer, nothing in these terms takes away the protection of the mandatory laws of the country where you live, or your right to bring a claim in the courts there.
15. General
If part of these terms can't be enforced, the rest still applies. Not enforcing a part straight away doesn't mean we give it up. You can't transfer these terms to someone else without our agreement; we may transfer them to a business that takes over the service, and your rights won't be reduced as a result.
